1. Purpose of the Agreement and Role of Nusa Ride

1.1. Purpose

The Supplier designates Nusa Ride as its non-exclusive Commercial Agent for the promotion, advertising, booking management, and collection for its motorcycles available for rental in the Lombok region (the "Services").

1.2. Nusa Ride's Function

Nusa Ride shall act on behalf of and on account of the Supplier. The final rental contract is always executed between the Supplier and the end Customer.

2. Supplier Obligations

2.1. Supply Guarantee: The Supplier warrants that all motorcycles offered comply with Indonesian law, possess the necessary permits, and are in perfect operating condition and legally fit for rental.

2.2. Mandatory Insurance: The Supplier must hold and maintain valid policies for civil liability insurance and any other mandatory insurance required by Indonesian law.

2.3. Pricing and Availability: The Supplier shall keep information regarding pricing, inventory availability, and motorcycle features updated in real-time.

2.4. Customer Service: The Supplier is solely responsible for the delivery, collection, vehicle condition, and customer support during the rental period.

3. Intermediary (Nusa Ride) Obligations

3.1. Platform Management: Nusa Ride shall be responsible for maintaining and managing the booking platform.

3.2. Collection and Invoicing: Nusa Ride shall manage the collection of the rental amount from the Customer on behalf of the Supplier.

3.3. Settlement: Nusa Ride shall settle the total rental amount to the Supplier, minus the agreed-upon Commission (Clause 4), within (DAY AFTER MOTORCYCLE PICKUP DATE) business days following the date the motorcycle is collected by the Customer.

4. Economic Regime, Commissions, and Incentives

4.1. Standard Commission

15% Commission on base price of each completed booking

4.2. Taxes

The Commission shall be understood to [INCLUDE/EXCLUDE] applicable taxes.

First 3 bookings: Only 5% commission!

The Supplier shall benefit from a Reduced Commission of 5% for their first 3 (three) confirmed and completed bookings.

4.4. 🌟 Performance and Loyalty Bonus Program ("Nusa Star")

Maintain 4.8+ stars rating = 24 FREE bookings per year!

Suppliers who maintain an average rating of 4.8 stars or higher over the last 12 months shall qualify for a bonus:

Bonus: Total exemption from the Commission for the first 2 (two) bookings of each month, for the subsequent year (24 bookings in total).

5. LIABILITY, EXONERATION, AND PENALTIES

5.1. TOTAL EXONERATION OF NUSA RIDE

The Supplier accepts and acknowledges that Nusa Ride bears no liability, direct or indirect, for the effective provision of the rental service. Responsibility for the vehicle's condition, safety, accidents, and service fulfillment rests solely with the Supplier.

5.2. INDEMNITY CLAUSE

The Supplier commits to INDEMNIFY AND HOLD HARMLESS Nusa Ride from any claim, lawsuit, or legal action initiated by third parties (including Customers) related to the rental of the Motorcycles, assuming all legal costs and damages.

5.3. πŸ’Έ Indemnification for Reputational Damage

If Nusa Ride determines that the Supplier has damaged its image and reputation through consistently poor comments or negative reviews, the Supplier shall pay The Intermediary a Fixed Indemnification of IDR 10,000,000 (Ten Million Indonesian Rupiah). This amount shall be immediately deducted from pending settlements.

5.4. 🚫 Penalty for Failure to Provide Contracted Service

If the Supplier fails to provide the contracted service to the Customer, the Supplier shall be responsible for the full refund.

Economic Penalty: The Supplier shall forfeit the right to collection of successive settlements for future bookings, until a penalty equivalent to 25 (twenty-five) times the total amount of the affected booking is amortized.

6. Duration and Termination

6.1. Duration

This Agreement shall have an initial term of [2] years, automatically renewable for an additional two years.

6.2. Termination by Quality

Nusa Ride may unilaterally terminate the agreement if the Supplier fails to meet quality or safety standards, or if the average rating of its services significantly drops. The Supplier shall remain responsible for the payment of any potential future bookings and shall not be entitled to claim back the commissions applied by NUSA RIDE.

7. Applicable Law and Jurisdiction

7.1. This Agreement shall be governed by and interpreted in accordance with the laws of [JURISDICTION, e.g., the Republic of Indonesia].

7.2. Any dispute shall be submitted to the jurisdiction of the courts of [CITY OR JUDICIAL DISTRICT, e.g., Mataram, Lombok].
